End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you (the "Customer" or "User") and WiTS (the "Company") governing your access to and use of the Company's software, services, and related materials (collectively, the "Services").

By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Services.

1. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.

2. Restrictions

You agree that you will not:

  • Reverse engineer, decompile, or disassemble the Services.
  • Rent, lease, sublicense, distribute, or otherwise transfer your access to the Services to any third party.
  • Use the Services in any manner that is unlawful, fraudulent, or inconsistent with this Agreement.

3. Ownership

The Company retains all right, title, and interest in and to the Services, including all intellectual property rights. This Agreement does not grant you any ownership rights in the Services.

4. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, the Company disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services.

5. Termination

The Company may suspend or terminate your access to the Services at any time if you violate this Agreement or if required to do so by law. Upon termination, your right to access and use the Services will immediately cease.

6. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which the Company is organized, without regard to its conflict of law provisions.
